Terms of Service

The Licensor Agrees to:

1. Provide quiet enjoyment of the licensed area.

2. Provide access to the building during building operating hours being 7:00 am to 6:00 pm Monday to Friday (or the hours confirmed for your booking).

3. Provide air conditioning, lighting and electricity during building operating hours (or the hours confirmed for your booking).

4. Provide and clean shared facilities including bathrooms and kitchen.

5. Provide access to the buildings services and facilities within in the Building from time to time (e.g. Wi-Fi network etc.).

The Licensee Agrees to:

1. Pay the booking fee in accordance with the terms of payment provided during booking.

2. Keep the Licensed Area and any shared facilities clean and tidy during the period of occupancy and upon return of the premises ensure they are in the same condition as they were in at the time of booking.

3. Keep the Licensed Area and Building secure at all times.

4. Not use any method of heating or cooling other than those provided by the Licensor.

5. Not permit items to be nailed, screwed, stapled or adhered to walls, doors or other surfaces in the booking area or Building.

6. Advise the Licensor of any repairs needed as soon as possible.

7. Be responsible for any damage caused by the Licensee to the Licensor’s or any other tenant’s property and to pay the Licensor on demand any sums required by the Licensor to repair to the satisfaction of the Licensor any damage caused by the Licensee.

8. Comply with all applicable laws and regulations in relation to its use of the Licensed Area and ensure the orderly behaviour of its employees, agents, contractors and guests in or or about the Licensed Area/Leased Premises or Building. The Licensor reserves the right to intervene or take such action as is necessary (in its absolute discretion) including, without limitation, adjusting any set up to ensure compliance with fire, health and safety codes. The Building is strictly non-smoking.

9. Not use the Licensed Area or permit the use of the Licensed Area for any immoral or illegal purposes.

10. Not obstruct do or permit anything on the Licensed Area which is a nuisance or cause of damage to the Licensed Area, the Building, the Licensor or the occupiers of adjoining tenancies or areas in the Building.

11. Not to permit or bring onto the Licensed Area or Building any substances of dangerous, corrosive, combustible, explosive, radioactive or offensive in nature or which might damage the Licensed Area or Building.

12. Familiarise itself its employees agents and contractors with the Building evacuation plans, and evacuate the premises immediately in case of any emergency.

13. Not to obstruct any Emergency Exits.

Force Majeure:

The Licensor is not liable for any loss or damage to the Licensee if it is unable to provide the Licensed Area and/or additional facilities/services for the Booking Use due to an act of God, act of public enemy, war, earthquake, riot, flood, explosion, compliance with any law or government order, strike, lock out or any other cause not reasonably within its control.

Liability:

1. The Licensee occupies the Licensed Area and Building at its own risk and holds harmless the Licensor.

2. The Licensee is liable and indemnifies the Licensor for any loss, destruction, damage or injury to any person or property and for any claim, liability, loss or expense suffered by the Licensor which is caused or contributed to by the Licensee or its employees, agents, contractors or guests.

3. If any service or facility provided by the Licensor fails to function for any reason the Licensee is not entitled to end this Agreement because of the failure and the Licensee may not make any claim for compensation or damages nor is entitled to any abatement of the Licence Fee or any payment from the Licensor as a result of the failure.

Indemnity:

1. With the exception of gross negligence or wilful misconduct, the Licensee expressly indemnifies the Licensor, its employees, caretakers, cleaners, agents or invitees, against any theft or loss from the Licensed Area or damage of the Licensed Area and its contents attributable to the Licensee, howsoever occurring.

2. The Licensee expressly indemnifies the Licensor against any loss, damage, corruption of data or any loss of information whether from hardware, software, internet, voice or communication system failure that may occur to the Licensee during the Term of this Agreement.

3. The Licensee agrees that the Licensor will not be liable for any personal property that is damaged, lost or stolen while on the Licensed Area unless caused by an act of gross negligence by the Licensor.

Insurance:

The Licensor accepts no responsibility and the Licensee waives any claim for any loss or damage occurring to any of the Licensees personal property whilst on the booking area.

Goods And Services Tax:

Liability for GST (payable in respect of any taxable supply) is included in the booking price. It is payable by the Licensee to the Licensor at the same time as the Booking Fee and other moneys are payable.

Law:

These terms and conditions are governed by the laws of New South Wales and you irrevocably submit to the exclusive jurisdiction of the courts of New South Wales.
